public interest, it has become effective
pursuant to Section 19(b)(3)(A)(iii) of
the Act 13 and Rule 19b–4(f)(6) 14
thereunder.
A proposed rule change filed under
Rule 19b–4(f)(6) 15 normally does not
become operative prior to 30 days after
the date of the filing. However, pursuant
to Rule 19b–4(f)(6)(iii),16 the
Commission may designate a shorter
time if such action is consistent with the
protection of investors and the public
interest. The Exchange has asked the
Commission to waive the 30-day
operative delay so that the proposed
rule change may become operative upon
filing. The Commission believes that
waiver of the 30-day operative delay is
consistent with the protection of
investors and the public interest
because it would clarify the definition
of the CUBE BBO and the circumstances
under which price improvement over
displayed Customer interest is required,
thus improving the accuracy and
comprehensibility of the Rule, without
undue delay. For these reasons, and
because the proposal does not raise any
new or novel issues, the Commission
hereby waives the 30-day operative
delay and designates the proposal
operative upon filing.17
At any time within 60 days of the
filing of the proposed rule change, the
Commission summarily may
temporarily suspend such rule change if
it appears to the Commission that such
action is necessary or appropriate in the
public interest, for the protection of
investors, or otherwise in furtherance of
the purposes of the Act.
IV. Solicitation of Comments
Interested persons are invited to
submit written data, views and
arguments concerning the foregoing,
including whether the proposed rule
change is consistent with the Act.
Comments may be submitted by any of

BOX Exchange LLC (‘‘BOX’’) filed with
the Securities and Exchange
Commission (‘‘Commission’’) a
proposed rule change to permit the
Exchange to list and trade options on
exchange-traded fund shares that
represent interests in a trust that holds
bitcoin (‘‘Proposal’’).
On March 25, 2024, the Proposal was
published for comment in the Federal
Register.3 On April 24, 2024, the
Commission instituted proceedings
under Section 19(b)(2)(B) of the Act 4 to
determine whether to approve or
disapprove the Proposal.5 The
Commission received comments
addressing the Proposal.6
On July 19, 2024, the Commission
designated a longer time for
Commission action on the Proposal.7 On
August 6, 2024, BOX withdrew the
Proposal (SR–BOX–2024–07).
