AGENCY:
Notice of an application under
Section 6(c) of the Investment Company
Act of 1940 (‘‘Act’’) for an exemption
from Section 15(c) of the Act.
SUMMARY OF APPLICATION: The requested
exemption would permit a Trust’s board
of trustees (the ‘‘Board’’) to approve new
sub-advisory agreements and material
amendments to existing sub-advisory
agreements without complying with the
in-person meeting requirement of
Section 15(c) of the Act.

and Morningstar Investment
Management LLC.
FILING DATES: The application was filed
on April 27, 2023, and amended on June
23, 2023 and June 28, 2023.
