Act for an exemption from rule 23c–3
under the Act, for an order pursuant to
section 17(d) of the Act and rule 17d–
1 under the Act.
Summary of Application: Applicants
request an order to permit certain
registered closed-end investment
companies to issue multiple classes of
shares and to impose asset-based
distribution and/or service fees and
early withdrawal charges (‘‘EWCs’’).
Applicants: Bow River Capital
Evergreen Fund (the ‘‘Initial Fund’’),
and Bow River Asset Management LLC
(the ‘‘Adviser’’).
Filing Dates: The application was
filed on August 25, 2021, and amended
on October 12, 2021, and November 5,

Stock Exchange LLC (‘‘NYSE’’ or the
‘‘Exchange’’) filed with the Securities
and Exchange Commission

19(b)(1) of the Securities Exchange Act
of 1934 (‘‘Act’’) 1 and Rule 19b–4
thereunder,2 a proposed rule change to
amend Section 312.07 of the NYSE
Listed Company Manual (‘‘Manual’’) to
address the calculation of votes cast
