Sunshine Act Meeting
Notice is hereby given, pursuant to
the provisions of the Government in the
Sunshine Act, Public Law 94–409, that
the Securities and Exchange
Commission Investor Advisory
Committee will hold a meeting on
Thursday, March 9, 2017, in MultiPurpose Room LL–006 at the
Commission’s headquarters, 100 F
Street NE., Washington, DC 20549. The
meeting will begin at 9:00 a.m. (ET) and
will be open to the public. Seating will
be on a first-come, first-served basis.
Doors will open at 8:30 a.m. Visitors
will be subject to security checks. The
meeting will be webcast on the
Commission’s Web site at www.sec.gov.
On February 13, 2017, the
Commission issued notice of the
Committee meeting (Release No. 33–
10306), indicating that the meeting is
open to the public (except during that
portion of the meeting reserved for an
administrative work session during
lunch), and inviting the public to
submit written comments to the
Committee. This Sunshine Act notice is
being issued because a quorum of the
Commission may attend the meeting.
The agenda for the meeting includes:
Remarks from Commissioners; a
discussion regarding SEC investor
research initiatives, the FINRA 2016
Financial Capability Study, and
academic research on financial literacy;
a discussion regarding unequal voting
rights of common stock; a report on the
nonpublic administrative work session;
and a nonpublic administrative work
session during lunch.

I. Introduction
On November 16, 2016, BOX Options
Exchange LLC (the ‘‘Exchange’’ or
‘‘BOX’’) filed with the Securities and
Exchange Commission (‘‘Commission’’),
pursuant to Section 19(b)(1) of the
Securities Exchange Act of 1934
(‘‘Act’’) 1 and Rule 19b–4 thereunder,2 a
proposal to adopt rules for an openoutcry trading floor. The proposed rule
change was published for comment in

the Federal Register on December 05,
2016.3 On January 10, 2017, the
Commission extended the time period
within which to approve the proposed
rule change, disapprove the proposed
rule change, or institute proceedings to
determine whether to approve or
disapprove the proposed rule change to
March 05, 2017.4 The Commission
received three comment letters on the
proposed rule change 5 and one
response letter from BOX.6 On February
21, 2017, the Exchange filed
Amendment No. 1 to the proposed rule
change.7
The Commission is publishing this
notice to solicit comments on the
proposed rule change, as modified by
Amendment No. 1, from interested
persons and to institute proceedings
under Section 19(b)(2)(B) of the Act 8 to
determine whether to approve or
disapprove the proposed rule change, as
modified by Amendment No. 1. The
institution of proceedings does not
indicate that the Commission has
reached any conclusions with respect to
any of the issues involved, nor does it
mean that the Commission will
ultimately disapprove the proposed rule
change. Rather, as described in Section
V below, the Commission seeks and
encourages interested persons to
provide additional comment on the
proposed rule change in order to inform
the Commission’s analysis of whether to
approve or disapprove the proposed

Exchange removed proposed rule language relating
to its minor rule violation plan, proposed
disciplinary process for the trading floor, and
