Notice is hereby given, pursuant to
the provisions of the Government in the
Sunshine Act, Pub. L. 94–409, that the
Securities and Exchange Commission
will hold an Open Meeting on
Wednesday, May 20, 2015 at 10:00 a.m.,
in the Auditorium, Room L–002.
The subject matters of the Open
Meeting will be:
• The Commission will consider
whether to propose new rules and forms
and amendments to current rules and
forms to modernize the reporting and
disclosure of information by registered
investment companies.
• The Commission will consider
whether to propose form and rule
amendments to require investment
advisers to provide additional
information concerning their operations,
require the maintenance of performance
records, and remove outdated transition
provisions from rules.
At times, changes in Commission
priorities require alterations in the
scheduling of meeting items.

On March 20, 2015, NASDAQ OMX
BX, Inc. (‘‘BX’’) filed with the Securities
and Exchange Commission
(‘‘Commission’’), pursuant to Section
19(b)(1) of the Securities Exchange Act
of 1934 (‘‘Act’’) 1 and Rule 19b–4
thereunder,2 a proposed rule change to
amend and restate certain BX rules that
govern the BX Equities Market in order
to provide a clearer and more detailed
description of certain aspects of its
functionality. The proposed rule change
was published for comment in the
Federal Register on April 6, 2015.3 The
Commission received no comment
letters regarding the proposed rule
change.
Section 19(b)(2) of the Act 4 provides
that within 45 days of the publication of
notice of the filing of a proposed rule
change, or within such longer period up
to 90 days as the Commission may
designate if it finds such longer period
to be appropriate and publishes its
reasons for so finding or as to which the
self-regulatory organization consents,
the Commission shall either approve the
proposed rule change, disapprove the
proposed rule change, or institute
proceedings to determine whether the
proposed rule change should be
disapproved. The 45th day for this filing
is May 21, 2015.
The Commission is extending the 45day time period for Commission action
on the proposed rule change. The
Commission finds that it is appropriate
to designate a longer period within
which to take action on the proposed
