Sunshine Act, Public Law 94–409, that
the Securities and Exchange
Commission will hold an Open Meeting
on Wednesday, February 4, 2015 at
10:00 a.m., in the Auditorium, Room L–
002.
The subject matter of the Open
Meeting will be:
• The Commission will consider
whether to approve the 2015 budget of
the Public Company Accounting
Oversight Board and will consider the
related annual accounting support fee
for the Board under Section 109 of the
Sarbanes-Oxley Act of 2002.
At times, changes in Commission

22, 2015, BATS Exchange, Inc. (the
‘‘Exchange’’ or ‘‘BATS’’) filed with the
Securities and Exchange Commission

I. Self-Regulatory Organization’s
Statement of the Terms of Substance of
the Proposed Rule Change
The Exchange filed a proposal to
amend Rules 2.5(c)(4) and 11.15 to
harmonize its membership requirements
applicable to clearing agencies that clear
transactions for Members 5 of the
Exchange with those set forth under
EDGX Exchange, Inc. (‘‘EDGX’’) and
EDGA Exchange, Inc. (‘‘EDGA’’) rules.6

Change
In its filing with the Commission, the
Exchange included statements
concerning the purpose of and basis for
the proposed rule change and discussed
any comments it received on the
proposed rule change. The text of these

Exchange has prepared summaries, set
forth in Sections A, B, and C below, of
the most significant parts of such

A. Self-Regulatory Organization’s

Change
1. Purpose
The Exchange proposes to amend
Rules 2.5(c)(4) and 11.15 to harmonize
its membership requirements applicable
to clearing agencies that clear
transactions for Members with those set
forth under EDGX and EDGA rules.7
