I. Self-Regulatory Organization’s
Statement of the Terms of Substance of
the Proposed Rule Change
The Exchange proposes to list and
trade shares of the following under
NYSE Arca Equities Rule 8.200 (‘‘Trust
Issued Receipts’’): ProShares Managed
Futures Strategy; ProShares Commodity
Managed Futures Strategy; and
ProShares Financial Managed Futures
Strategy. The text of the proposed rule

In its filing with the Commission, the

The Exchange proposes to list and
trade shares (‘‘Shares’’) of the following
under Commentary .02 to NYSE Arca
Equities Rule 8.200, which governs the
listing and trading of Trust Issued
Receipts that invest in ‘‘Investment
Shares’’ or ‘‘Financial Instruments’’, as
defined therein: ProShares Managed
Futures Strategy; ProShares Commodity
Managed Futures Strategy; and
ProShares Financial Managed Futures
Strategy (each a ‘‘Fund’’ and,
collectively, the ‘‘Funds’’).4
