(5) For initial and/or continued listing, each Fund will be in compliance with Rule 10A–3 under the Exchange Act,30 as provided by NYSE Arca Equities Rule 5.3. (6) Each Fund may hold up to an aggregate amount of 15% of its net assets in illiquid assets (calculated at the time of investment), including Rule 144A securities deemed illiquid by the Adviser, consistent with Commission guidance. (7) A minimum of 100,000 Shares of each Fund will be outstanding at the commencement of trading on the Exchange. (8) With respect to each of the Funds, such Fund’s investments will be consistent with the Fund’s investment objective. Investments in derivative instruments by the Funds will be made in accordance with the 1940 Act and consistent with each Fund’s investment objective and policies. To limit the potential risk associated with transactions in derivatives, the Funds will segregate or ‘‘earmark’’ assets determined to be liquid by the Adviser in accordance with procedures established by the Trust’s Board and in accordance with the 1940 Act (or, as permitted by applicable regulation, enter into certain offsetting positions) to cover its obligations under derivative instruments. (9) The Funds will not invest in equity securities other than convertible securities and securities issued by other investment companies, including money market funds and ETFs. The Funds will not invest in non-U.S. equity securities. The Funds will not invest in leveraged or leveraged inverse ETFs. This approval order is based on all of the Exchange’s representations and description of the Funds, including those set forth above and in the Notice. For the foregoing reasons, the Commission finds that the proposed rule change is consistent with Section 6(b)(5) of the Act 31 and the rules and regulations thereunder applicable to a national securities exchange.     It appears to the Securities and Exchange Commission that there is 
a lack of complete and accurate information concerning the securities 
of Trilliant Exploration Corp. (``Trilliant'') because of questions 
that have been raised about the accuracy and reliability of publicly 
available information concerning, among other things, Trilliant's 
financial condition. Trilliant was a Nevada corporation based in New 
York, New York, whose corporate status was revoked in January 2013. Its 
securities are quoted on OTC Link (previously ``Pink Sheets'') operated 
by OTC Markets Group, Inc. under the ticker symbol ``TTXP.''
    The Commission is of the opinion that the public interest and the 
protection of investors require a suspension of trading in the
