Exchange has entered into a
comprehensive surveillance sharing
agreement. In addition, as noted above,
investors will have ready access to
information regarding the Fund’s
holdings, the Portfolio Indicative Value
and quotation and last sale information
for the Shares. The Fund may invest up
to 15% of its net assets in illiquid
securities (calculated at the time of
investment), including Rule 144A
securities deemed illiquid by the
Manager. The Fund expects that no
more than 20% of the value of the
Fund’s net assets will be invested in
derivative instruments as discussed
above. Such derivative investments will
be consistent with the Fund’s
investment goal and will not be used to
enhance leverage.

Statement on Burden on Competition
The Exchange does not believe that
the proposed rule change will impose
any burden on competition that is not
necessary or appropriate in furtherance
of the purpose of the Act. The Exchange
notes that the proposed rule change will
facilitate the listing and trading of an
additional type of actively-managed
exchange-traded product that will
enhance competition among market
participants, to the benefit of investors
and the marketplace.
