Any other Adviser (as defined below)

adviser under the Advisers Act. The
Adviser may enter into sub-advisory
agreements with one or more
investment advisers to act as subadvisers to particular Funds (each, a
‘‘Sub-Adviser’’). Any Sub-Adviser will
either be registered under the Advisers
Act or will not be required to register

3. A Distributor will serve as the
principal underwriter and distributor
