The cost outside counsel charges applicants depends on the complexity of the issues covered by the application and the time required for preparation. Based on conversations with attorneys who serve as outside counsel, the cost ranges from approximately $10,000 for preparing a well-precedented, routine application to approximately $150,000 to prepare a complex and/or novel application. This distribution gives a total estimated annual cost burden to applicants of filing all applications of $8,450,000 [(15 × $150,000) + (75 × $80,000) + (20 × $10,000)]. These estimates of average costs are made solely for the purposes of the Paperwork Reduction Act. The estimate is not derived from a comprehensive or even a representative survey or study of the costs of Commission rules. Sunshine Act Meeting

    Notice is hereby given, pursuant to the provisions of the 
Government in the Sunshine Act, Public Law 94-409, that the Securities 
and Exchange Commission will hold an Open Meeting on Wednesday, July 
10, 2013 at 10:00 a.m., in the Auditorium, Room L-002.
    The subject matters of the Open Meeting will be:
     The Commission will consider whether to adopt amendments 
to eliminate the prohibition against general solicitation and general 
advertising in certain securities offerings conducted pursuant to Rule 
506 of Regulation D under the Securities Act and Rule 144A under the 
Securities Act, as mandated by Section 201(a) of the Jumpstart Our 
Business Startups Act.
