The title for the collection of
information is ‘‘Rule 203–2 (17 CFR
275.203–2) and Form ADV–W (17 CFR
279.2) under the Investment Advisers
Act of 1940 (15 U.S.C. 80b).’’ Rule 203–
2 under the Investment Advisers Act of
1940 establishes procedures for an
investment adviser to withdraw its
registration with the Commission. Rule
203–2 requires every person
withdrawing from investment adviser
registration with the Commission to file
Form ADV–W electronically on the

Investment Adviser Registration
Depository (‘‘IARD’’). The purpose of the
information collection is to notify the
Commission and the public when an
investment adviser withdraws its
pending or approved SEC registration.
Typically, an investment adviser files a
Form ADV–W when it ceases doing
business or when it is ineligible to
remain registered with the Commission.
The respondents to the collection of
information are all investment advisers
that are registered with the Commission
or have applications pending for
registration. The Commission has
estimated that compliance with the
requirement to complete Form ADV–W
imposes a total burden of approximately
0.75 hours (45 minutes) for an adviser
filing for full withdrawal and
approximately 0.25 hours (15 minutes)
for an adviser filing for partial
withdrawal. Based on historical filings,
the Commission estimates that there are
approximately 500 respondents
annually filing for full withdrawal and
approximately 500 respondents
annually filing for partial withdrawal.
Based on these estimates, the total
estimated annual burden would be 500
hours ((500 respondents × .75 hours) +
(500 respondents × .25 hours)).
Rule 203–2 and Form ADV–W do not
require recordkeeping or records
retention. The collection of information
requirements under the rule and form
are mandatory. The information
collected pursuant to the rule and Form
ADV–W are filings with the
Commission. These filings are not kept
confidential. An agency may not
conduct or sponsor, and a person is not
required to respond to, a collection of
information unless it displays a
currently valid control number.
Written comments are invited on: (a)
Whether the documentation of
information is necessary for the proper
performance of the functions of the
agency, including whether the
information will have practical utility;

exemption, on a continuing or
temporary basis, to not complete an
electronic filing. The temporary
hardship exemption permits advisers to
make late filings due to unforeseen
computer or software problems, while
the continuing hardship exemption
permits advisers to submit all required
electronic filings on hard copy for data
entry by the operator of the IARD.
The respondents to the collection of
information are all investment advisers
that are registered with the Commission.
The Commission has estimated that

On July 7, 1975, effective July 16,
1975 (see 41 FR 28948, July 14, 1975),
the Commission adopted Rule 15Ba2–5
under the Exchange Act of 1934 to
permit a duly-appointed fiduciary to
assume immediate responsibility for the
operation of a municipal securities
dealer’s business. Without the rule, the
fiduciary would not be able to assume
operation until it registered as a
municipal securities dealer. Under the
rule, the registration of a municipal
securities dealer is deemed to be the
registration of any executor,
administrator, guardian, conservator,
assignee for the benefit of creditors,
receiver, trustee in insolvency or
bankruptcy, or other fiduciary,
appointed or qualified by order,
judgment, or decree of a court of
competent jurisdiction to continue the
business of such municipal securities
dealer, provided that such fiduciary
files with the Commission, within 30
days after entering upon the
performance of his duties, a statement
setting forth as to such fiduciary
substantially the same information
required by Form MSD or Form BD. The
statement is necessary to ensure that the
Commission and the public have
adequate information about the
fiduciary.
There is approximately 1 respondent
per year that requires an aggregate total
of 4 hours to comply with this rule. This
respondent makes an estimated 1
annual response. Each response takes
approximately 4 hours to complete.
Thus, the total compliance burden per
year is 4 burden hours. The approximate
cost per hour is $20, resulting in a total
cost of compliance for the respondent of
approximately $80 (i.e., 4 hours × $20).

On March 10, 2010, the Municipal
Securities Rulemaking Board (‘‘MSRB’’)
filed with the Securities and Exchange
Commission (‘‘Commission’’), pursuant
to section 19(b)(1) of the Securities
Exchange Act of 1934 (‘‘Act’’) 1 and Rule
19b–4 thereunder,2 a proposed rule
change to enhance the interest rate and
descriptive information currently
collected and made transparent by the
MSRB on municipal Auction Rate
Securities (‘‘ARS’’) and Variable Rate
Demand Obligations (‘‘VRDOs’’). The
proposed rule change was published for
comment in the Federal Register on
April 2, 2010.3 The Commission
received five comment letters about the
proposed rule change.4 On July 9, 2010,
