Pursuant to Section 19(b)(1) of the

notice is hereby given that on February
17, 2006, the American Stock Exchange
LLC (‘‘Amex’’ or ‘‘Exchange’’) filed with
the Securities and Exchange
Commission (‘‘SEC’’ or ‘‘Commission’’)
the proposed rule change as described
in Items I, II and III below, which Items
have been prepared by the Exchange.
On July 12, 2006, the Exchange filed
Amendment No. 1 to the proposed rule
change.3 On September 19, 2006, the
Exchange filed Amendment No. 2 to the

13, 2006, the Exchange filed
Amendment No. 3 to the proposed rule
change.5 The Commission is publishing
this notice to solicit comments on the
proposed rule change, as amended, from
interested persons.
I. Self-Regulatory Organization’s
Statement of the Terms of Substance of
the Proposed Rule Change
The Exchange proposes to list and
trade options on the Price-Return
Nuveen Municipal Closed-End Fund
Index (‘‘NMUNP’’) (the ‘‘Nuveen
Municipal Fund Index’’ or ‘‘Index’’), an
index based on the shares of exchangelisted closed-end management
investment companies that are exempt
from federal income tax by investing in
portfolios of bonds issued by state and
local governments and agencies
(‘‘Closed-End Funds’’ or ‘‘Funds’’).

Commission’s Public Reference Room.

Change
In its filing with the Commission, the
Amex included statements concerning
the purpose of, and basis for, the
proposed rule change and discussed any
comments it received on the proposed

prepared summaries, set forth in
sections A, B, and C below, of the most
significant aspects of such statements.
A. Self-Regulatory Organization’s
Statement of the Purpose of, and the
Statutory Basis for, the Proposed Rule
Change
1. Purpose
The purpose of the proposed rule
change is to permit the Exchange to list
and trade cash-settled, European-style
index options on the Price-Return
Nuveen Municipal Fund Index. The
Exchange believes that options on the
Index will be the first index options
based on an index of closed-end funds.
The proposed Index options are
intended for the use of investors
