The purpose of this filing is to amend
PCX Rule 6.82(c)(15), Obligations of
Lead Market Makers, to change the
operative date of the rule to January 1,
2006. This date allows the Exchange to
implement the technology to automate
the routing out over linkage of public
customer orders, which will facilitate
Lead Market Maker compliance with the
rule
2. Statutory Basis
The Exchange believes that the
proposed rule change is consistent with
Section 6(b) of the Act 5 in general, and
furthers the objectives of Section 6(b)(5)
of the Act 6 in particular, because the
proposed rule change is designed to
prevent fraudulent and manipulative
acts and practices, to promote just and
equitable principles of trade, to foster
cooperation and coordination with
persons engaged in facilitating
transactions in securities, and to remove
impediments to and perfect the
mechanism of a free and open market
and a national market system.

Statement on Burden on Competition
The Exchange does not believe that
the proposed rule change will impose
any burden on competition that is not
necessary or appropriate in furtherance
of the purposes of the Act.
