Section 15.11 - Indemnification

(a) The City of New York shall indemnify and save harmless the Commisioner of Motor Vehicles from and against any and all liability, damage, expense, casues of action, suits, claims, penalties or judgments arising from the administration and collection of tax pursuant to this agreement.

(b) The City of New York shall, at its own cost and expense, defend any and all suits and actions which may be brought against the Commissioner of Motor Vehicles, or in which the Commissioner of Motor Vehicles may be impleaded with others, arising from the administration and collection of the tax.

(c) In the event of the failure of the City of New York to do so, the Commissioner of Motor Vehicles may, at the cost and expense of the City of New York and upon prior written notice to the commissioner of finance, defend any and all such actions, and the City of New York shall satisfy, pay and discharge any and all judgments that may be recovered against the Commissioner of Motor Vehicles. If the City of New York fails to make any such payments, the Commissioner of Motor Vehicles may pay the same, together with any related costs and interest, and may deduct such payments from any revenues collected under this agreement that would otherwise be distributed to the department of finance.
