The Vice-President shall perform all duties and exercise all powers conferred by law or by these bylaws upon the President, when the president is absent or fails or declines to act, except that the Vice-President may not cast the vote of the President as a member of the Board of Directors. The Vice-President shall perform such other duties as from time to time may be assigned to him by the President or by the Board of Directors.
