I. Introduction
On March 22, 2024, The Nasdaq Stock
Market LLC (‘‘Nasdaq’’ or ‘‘Exchange’’)
filed with the Securities and Exchange
Commission (‘‘Commission’’ or ‘‘SEC’’),
pursuant to Section 19(b)(1) of the
Securities Exchange Act of 1934
(‘‘Exchange Act’’),1 and Rule 19b–4
thereunder,2 a proposed rule change to
increase fees for certain market data and
connectivity products and to maintain
the current fees for such products if
members meet a minimum average daily
displayed volume threshold
(‘‘Proposal’’).3 The proposed rule
change was immediately effective upon
filing with the Commission pursuant to
Section 19(b)(3)(A) of the Exchange
Act.4 The proposed rule change was
published for comment in the Federal
Register on April 5, 2024.5 The
Commission has received comment
letters on the proposed rule change and
a letter responding to comments from
Nasdaq.6 On May 21, 2024, the
Commission issued an order
temporarily suspending the proposed
rule change pursuant to Section
19(b)(3)(C) of the Exchange Act 7 and

simultaneously instituting proceedings
under Section 19(b)(2)(B) of the
Exchange Act 8 to determine whether to
approve or disapprove the proposed
rule change.9 On October 1, 2024, the
Commission designated a longer period
for Commission action on the proposed
rule change.10 This order disapproves
the proposed rule change.
This order disapproves the proposed
rule change because, as discussed
below, the Exchange has not met its
burden under the Exchange Act and the
Commission’s Rules of Practice to
demonstrate that the Proposal is
consistent with the requirements of
Sections 6(b)(4), (b)(5), and (b)(8) of the
Exchange Act, in particular the
requirements that the rules of a national
securities exchange ‘‘provide for the
equitable allocation of reasonable dues,
fees, and other charges among its
members and issuers and other persons
using its facilities,’’ not be ‘‘designed to
permit unfair discrimination between
customers, issuers, brokers, or dealers,’’
and ‘‘not impose any burden on
competition not necessary or
appropriate in furtherance of the
purposes of [the Exchange Act];’’ as well
as Section 11A of the Exchange Act and
Rules 603(a)(1) and 603(a)(2) of
Regulation NMS which, among other
things, require the Exchange to
distribute market data on terms that are
‘‘fair and reasonable’’ and ‘‘not
unreasonably discriminatory.’’11
II. Description of the Proposed Rule
Change and Exchange’s
Representations
As described in more detail in the
Notice and Order Instituting
Proceedings, the Exchange proposes to
increase non-member and member firm
fees for Non-Display Usage 12 of depthof-book data and the fees for the
Exchange’s 40Gb and 10Gb Ultra highspeed connections to the Exchange.
However, the Exchange proposes to
continue to charge the current fees for
