to the proposal to eliminate the entry fee
cap for ETPs and adopt a new fee for
each Exchange Rule Filing Amendment,
the Exchange does not believe that the
changes burden competition, but
instead, enhance competition, as they
are intended to address the costs
associated with preparing an Exchange
Rule Filing and Exchange Rule Filing
Amendment when Companies require
such filings. As such, the proposal is a
competitive proposal designed to
enhance pricing competition among
listing venues and implement pricing
for such rule filings that better reflects
expenses associated with listing ETPs
on the Exchange. The Exchange does
not believe the proposed amendment
would burden intramarket competition
as the proposed fee would be assessed
to all issuers uniformly that require
more than three Exchange Rule Filings
in a given year or an Exchange Rule
Filing Amendment.

received comments on the proposed
rule change.
III. Date of Effectiveness of the
Proposed Rule Change and Timing for
Commission Action
The foregoing rule change has become
effective pursuant to Section 19(b)(3)(A)
of the Act 15 and paragraph (f) of Rule
19b–4 16 thereunder. At any time within
60 days of the filing of the proposed rule
change, the Commission summarily may
temporarily suspend such rule change if
it appears to the Commission that such
action is necessary or appropriate in the
public interest, for the protection of
investors, or otherwise in furtherance of
the purposes of the Act.
