1. Purpose
The Exchange proposes to list and
trade the Shares of the ARK 21Shares
Ethereum Trust 4 under BZX Rule
14.11(e)(4),5 which governs the listing
and trading of Commodity-Based Trust
Shares on the Exchange.6
According to the Registration
Statement, the Trust is neither an
investment company registered under
the Investment Company Act of 1940, as
amended,7 nor a commodity pool for
purposes of the Commodity Exchange
Act (‘‘CEA’’), and neither the Trust nor
the Sponsor is subject to regulation as
a commodity pool operator or a
commodity trading adviser in
connection with the Shares.
ARK 21Shares Ethereum Trust
21Shares US LLC is the sponsor of the
Trust (the ‘‘Sponsor’’). The Bank of New
York Mellon will be the administrator
(‘‘Administrator’’) and transfer agent
(‘‘Transfer Agent’’). Foreside Global
Services, LLC will be the marketing
agent (‘‘Marketing Agent’’) in
connection with the creation and
redemption of ‘‘Baskets’’ of Shares. ARK
Investment Management LLC (‘‘ARK’’)
will provide assistance in the marketing
of the Shares and serve as a sub-adviser.
Coinbase Custody Trust Company, LLC,
a third-party regulated custodian (the
‘‘Custodian’’), will be responsible for
custody of the Trust’s ether.
According to the Registration
Statement, each Share will represent a
fractional undivided beneficial interest
in the ether held by the Trust. The
Trust’s assets will consist of ether held
by the Custodian on behalf of the Trust.
The Trust generally does not intend to
