I. Introduction
On May 13, 2022, the Operating
Committee for Consolidated Audit Trail,
LLC (‘‘CAT LLC’’), on behalf of the
following parties to the National Market
System Plan Governing the
Consolidated Audit Trail (the ‘‘CAT
NMS Plan’’ or ‘‘Plan’’): 1 BOX Exchange

the CAT NMS Plan (‘‘Proposed
Amendment’’) to implement a revised
funding model (‘‘Executed Share
Model’’) for the consolidated audit trail
(‘‘CAT’’) and to establish a fee schedule
for Participant CAT fees in accordance

(‘‘Proposed Participant Fee Schedule’’).4
The Proposed Amendment was
published for comment in the Federal
Register on June 1, 2022.5
This order institutes proceedings,
under Rule 608(b)(2)(i) of Regulation
NMS,6 to determine whether to
disapprove the Proposed Amendment or
to approve the Proposed Amendment
with any changes or subject to any
conditions the Commission deems
necessary or appropriate.
II. Background
On July 11, 2012, the Commission
adopted Rule 613 of Regulation NMS,
which required the SROs to submit a
national market system (‘‘NMS’’) plan to
create, implement and maintain a
consolidated audit trail that would
capture customer and order event
information for orders in NMS
securities.7 On November 15, 2016, the
Commission approved the CAT NMS
Plan.8 Under the CAT NMS Plan, the
Operating Committee of the Company,
of which each Participant is a member,
has the discretion (subject to the
funding principles set forth in the Plan)
to establish funding for the Company to
operate the CAT, including establishing
fees to be paid by the Participants and
Industry Members.9
The Plan specified that, in
establishing the funding of the
Company, the Operating Committee
shall establish ‘‘a tiered fee structure in
which the fees charged to: (1) CAT
Reporters 10 that are Execution
Venues,11 including ATSs,12 are based
upon the level of market share; (2)
Industry Members’ non-ATS activities
