In particular, options market participants are not forced to connect to (and purchase market data from) all options exchanges. Not only does MIAX have less than half the number of members as certain other options exchanges, but there are also a number of the Exchange’s Members that do not connect directly to MIAX or MIAX PEARL. There are a number of large market makers and broker-dealers that are members of other options exchange but not Members of MIAX or MIAX PEARL. Additionally, other exchanges have similar connectivity alternatives for their participants, including similar low-latency connectivity, but with much higher rates to connect. The Exchange is also unaware of any assertion that its existing fee levels or the Proposed Access Fees would somehow unduly impair its competition with other options exchanges. To the contrary, if the fees charged are deemed too high by market participants, they can simply disconnect. While the Exchange recognizes the distinction between connecting to an exchange and trading at the exchange, the Exchange notes that it operates in a highly competitive options market in which market participants can readily connect and trade with venues they desire. In such an environment, the Exchange must continually adjust its fees to remain competitive with other exchanges. The Exchange believes that the proposed changes reflect this competitive environment.
