I. Introduction
On August 1, 2019, the Municipal
Securities Rulemaking Board (the
‘‘MSRB’’ or ‘‘Board’’) filed with the
Securities and Exchange Commission
(the ‘‘SEC’’ or ‘‘Commission’’), pursuant
to Section 19(b)(1) of the Securities
Exchange Act of 1934 (‘‘Exchange Act’’
or ‘‘Act’’) 1 and Rule 19b–4 thereunder,2

restate the MSRB’s August 2, 2012
interpretive notice concerning the
application of MSRB Rule G–17 to
underwriters of municipal securities
(the ‘‘2012 Interpretive Notice’’).3 The
original proposed rule change was
published for comment in the Federal
Register on August 9, 2019.4
The Commission received three
comment letters in response to the
original proposed rule change.5 On
September 10, 2019, the MSRB granted
an extension of time for the Commission
to act on the filing until November 7,
2019. On October 7, 2019, the MSRB
responded to the comments 6 and filed
Amendment No. 1 to the original
proposed rule change (‘‘Amendment No.
1’’).7 The Commission published notice
of Amendment No. 1 in the Federal
Register on October 15, 2019.8 In
response to Amendment No. 1, the
Commission received three comment
letters.9 On October 31, 2019, the MSRB
submitted a response to comments
received on Amendment No. 1 10 and
