investment portfolios of the EQ Trust
(the ‘‘Replacement Portfolios’’), held by
the Separate Accounts (except for
Separate Account 65) to support certain
variable annuity contracts and/or
variable life insurance contracts (the
‘‘Contracts’’). The Section 17 Applicants
seek an order pursuant to section 17(b)
of the Act exempting them from section
17(a) of the Act to the extent necessary
to permit them to engage in certain inkind transactions.
