The NCUA estimates that the average
response time per respondent is 10
hours. At the time of the approval of the
original collection, the Agencies joint
estimate of the time per response per
respondent was 12 hours. NCUA has reevaluated its estimates and has
determined that the burden on the
credit union will be reduced by the
redesign of the form.
An adjustment in the number of
respondents is being made to reflect
reduction in the number of credit
unions reporting.
Request for Comments: Comments
submitted in response to this notice will
be summarized and included in the
request for Office of Management and
Budget approval. All comments will
become a matter of public record. The
public is invited to submit comments
concerning: (a) Whether the collection
of information is necessary for the
proper execution of the function of the
agency, including whether the
information will have practical utility;
(b) the accuracy of the agency’s estimate
of the burden of the collection of
information, including the validity of
the methodology and assumptions used;
(c) ways to enhance the quality, utility,
and clarity of the information to be
collected; and (d) ways to minimize the
burden of the collection of the
information on the respondents,
including the use of automated
collection techniques or other forms of
information technology.

The Exchange proposes certain
changes regarding investments of the
PGIM Ultra Short Bond ETF (the
‘‘Fund’’), a series of PGIM ETF Trust
(the ‘‘Trust’’), under NYSE Arca Rule
8.600–E (‘‘Managed Fund Shares’’). The
proposed change is available on the

A. Self-Regulatory Organization’s
Statement of the Purpose of, and the
Statutory Basis for, the Proposed Rule
Change
1. Purpose
The Exchange proposes certain
changes, described below under
‘‘Application of Generic Listing
Requirements’’, regarding investments
of the Fund. The shares (‘‘Shares’’) of
the Fund will be listed and traded on
the Exchange under Commentary .01 to
NYSE Arca Rule 8.600–E, which
provides generic criteria applicable to
the listing and trading of Managed Fund
Shares.4 PGIM Investments LLC (the
‘‘Adviser’’) will be the investment
adviser for the Fund. PGIM Fixed
Income (the ‘‘Subadviser’’), a unit of
PGIM, Inc., will be the subadviser to the
Fund. PIMS, the Adviser and the
Subadviser are indirect wholly-owned
subsidiaries of Prudential Financial, Inc.
Brown Brothers Harriman & Co., which
is unaffiliated with PIMS, the Adviser
and the Subadviser, will serve as the
custodian, administrator, and transfer
agent (‘‘Transfer Agent’’) for the Fund.5
Prudential Investment Management
Services LLC (‘‘PIMS’’), a registered
broker-dealer, will act as the distributor
(the ‘‘Distributor’’) for the Fund’s
Shares.
Commentary .06 to Rule 8.600–E
provides that, if the investment adviser
to the investment company issuing
Managed Fund Shares is affiliated with
a broker-dealer, such investment adviser
