(11) The Fund’s securities lending
and reverse repurchase agreement
transactions will be made in accordance
with the 1940 Act and consistent with
the Fund’s investment objectives and
policies, and will not be used to
multiply the risks and returns of income
producing assets. The Fund will comply
with the regulatory requirements of the
Commission to maintain assets as
‘‘cover,’’ and maintain segregated
accounts as needed. With respect to the
reverse repurchase agreements entered
into by the Fund that involve
obligations to make future payments to
third parties, the Fund, in accordance
with applicable federal securities laws,
rules, and interpretations thereof, will
‘‘set aside’’ liquid assets, or engage in
other measures to ‘‘cover’’ open
positions with respect to such
transactions. These procedures will be
adopted consistent with Section 18 of
the 1940 Act and related Commission
guidance. In addition, the Fund will
include appropriate risk disclosure in
its offering documents, including
leveraging risk. Leveraging risk is the
risk that certain transactions of the
Fund, including the Fund’s use of
reverse repurchase agreements, may
give rise to leverage, causing the Fund’s
Shares to be more volatile than if they
had not been leveraged.
(12) A minimum of 50,000 Shares will
be outstanding at the commencement of
trading on the Exchange.
This approval order is based on all of
the Exchange’s representations,
including those set forth above and in
the Notice, and the Exchange’s
description of the Fund. The
Commission notes that the Fund and the
Shares must comply with the initial and
continued listing criteria in Nasdaq Rule
5735 for the Shares to be listed and
traded on the Exchange.
For the foregoing reasons, the
Commission finds that the proposed
rule change is consistent with section
6(b)(5) of the Act 30 and the rules and
regulations thereunder applicable to a
national securities exchange.

IV. Conclusion
It is therefore ordered, pursuant to
section 19(b)(2) of the Act,31 that the
proposed rule change (SR–NASDAQ–
2015–089), be, and it hereby is,
approved.

hereby determine that the individual
known as Sally-Anne Frances Jones,
also known as Sally Anne Jones, also
known as Sally Jones, also known as
Umm Hussain al-Britani, also known as
Sakinah Hussain poses a significant risk
of committing, acts of terrorism that
threaten the security of U.S. nationals or
the national security, foreign policy, or
economy of the United States.
Consistent with the determination in
section 10 of Executive Order 13224 that
‘‘prior notice to persons determined to
be subject to the Order who might have
a constitutional presence in the United
States would render ineffectual the
blocking and other measures authorized
in the Order because of the ability to
transfer funds instantaneously,’’ I
determine that no prior notice needs to
be provided to any person subject to this
determination who might have a
constitutional presence in the United
States, because to do so would render
ineffectual the measures authorized in
the Order.
This notice shall be published in the
Federal Register.
