2. Statutory Basis
MIAX believes that its proposed rule
change is consistent with Section 6(b) of
the Act 4 in general, and furthers the
objectives of Section 6(b)(5) of the Act 5
in particular, in that it is designed to
prevent fraudulent and manipulative
acts and practices, to promote just and
equitable principles of trade, to foster
cooperation and coordination with
persons engaged in facilitating
transactions in securities, to remove
impediments to and perfect the
mechanisms of a free and open market
and a national market system and, in
general, to protect investors and the
public interest.
The proposal to end the liquidity
refresh pause due to the ABBO on the
same side of the market as the initiating
order crosses the original NBBO price
on the opposite side of the market is
designed to facilitate transactions, to
remove impediments to and perfect the
mechanism of a free and open market by
freeing up interest in the liquidity
refresh pause when conditions have
changed that renders the initiating order
and same side joiners no longer
marketable to the benefit of market
participants. The proposal also
promotes the protection of investors and
the public interest by codifying existing
functionality in a manner that should
reduce confusion for Exchange members
regarding the termination of a liquidity
refresh pause.
B. Self-Regulatory Organization’s
Statement on Burden on Competition
The Exchange does not believe that
the proposed rule change will impose
any burden on competition not
necessary or appropriate in furtherance
of the purposes of the Act. Specifically,
the Exchange believes the proposed
changes will not impose any burden on
intra-market competition because it

applies to all MIAX participants
equally. In addition, the Exchange does
not believe the proposal will impose
any burden on inter-market competition
as the proposal is intended to protect
investors by providing further
transparency regarding the Exchange’s
price protection functionality.

III. Date of Effectiveness of the
Proposed Rule Change and Timing for
Commission Action
Within 45 days of the date of
publication of this notice in the Federal
Register or within such longer period (i)
as the Commission may designate up to
90 days of such date if it finds such
longer period to be appropriate and
publishes its reasons for so finding or
(ii) as to which the Exchange consents,
the Commission shall: (a) By order
approve or disapprove such proposed
rule change, or (b) institute proceedings
to determine whether the proposed rule
change should be disapproved.
