involving the recruitment, hiring, and

On April 7, 2014, The NASDAQ Stock
Market LLC (‘‘Nasdaq’’ or the
‘‘Exchange’’) filed with the Securities
and Exchange Commission
(‘‘Commission’’), pursuant to Section
19(b)(1) of the Securities Exchange Act
of 1934 (‘‘Act’’) 1 and Rule 19b–4
thereunder,2 a proposed rule change to
remove, from the Exchange rules, fee
provisions with respect to third-party
data feeds that Nasdaq receives from
multiple sources and then re-transmits
to clients in connection with the
Exchange’s co-location services. The
proposed rule change was published for
comment in the Federal Register on
April 28, 2014.3 The Commission
received no comment on the proposal.
Section 19(b)(2) of the Act 4 provides
that, within 45 days of the publication
of notice of the filing of a proposed rule
change, or within such longer period up
to 90 days as the Commission may
designate if it finds such longer period
to be appropriate and publishes its
reasons for so finding or as to which the
self-regulatory organization consents,
the Commission shall either approve the
proposed rule change, disapprove the
proposed rule change, or institute
proceedings to determine whether the
proposed rule change should be
disapproved. The 45th day for this filing
is June 12, 2014. The Commission is
extending this 45-day time period.
The Commission finds that it is
appropriate to designate a longer period
within which to take action on the
proposed rule change so that it has
sufficient time to consider the proposed
rule change. The proposed rule change
would, among other things, determine
whether fees for third-party data feeds
provided by Nasdaq to its co-located
clients could be removed from the
Exchange rules.
Accordingly, the Commission,
pursuant to Section 19(b)(2) of the Act,5
designates July 25, 2014, as the date by
which the Commission should either
approve or disapprove or institute
proceedings to determine whether to
disapprove the proposed rule change.

II. Self-Regulatory Organization’s
Statement of the Purpose of, and
Statutory Basis for, the Proposed Rule
Change
In its filing with the Commission, the
self-regulatory organization included
statements concerning the purpose of,
and basis for, the proposed rule change
and discussed any comments it received
on the proposed rule change. The text
of those statements may be examined at
the places specified in Item IV below.
The Exchange has prepared summaries,
set forth in sections A, B, and C below,
of the most significant parts of such
statements.
A. Self-Regulatory Organization’s
Statement of the Purpose of, and the
Statutory Basis for, the Proposed Rule
Change
1. Purpose
The Exchange proposes to amend the
NYSE MKT BBO market data product
offering. In 2010, the Securities and
Exchange Commission (‘‘Commission’’)
approved the NYSE MKT BBO data feed
and certain fees for it.4 NYSE MKT BBO
is an NYSE MKT-only market data feed
that distributes on a real-time basis the
same best-bid-and-offer information that
the Exchange reports under the
Consolidated Quotation (‘‘CQ’’) Plan for
inclusion in the CQ Plan’s consolidated
quotation information data stream. The
data feed includes the best bids and
offers for all securities that are traded on
the Exchange and for which the
Exchange reports quotes under the CQ
Plan.
The Exchange has determined to add
information about security status, such
as whether a security is in a short sale
restriction or retail price improvement
indications pursuant to NYSE MKT
Rule 107C(j)—Equities, to the NYSE
MKT BBO data feed. There will be no
change to the fees for the NYSE MKT
BBO feed in connection with this
change.5
The Exchange expects to offer the
current NYSE MKT BBO data product
and the proposed NYSE MKT BBO data
product with the added security status
information at the same time for a
limited transition period. After the
transition period, the Exchange will
offer only the proposed NYSE MKT
BBO with the added security status
