NLD is, and each distributor for a Future Fund will be, a broker-dealer (‘‘Broker’’) registered under the Securities Exchange Act of 1934 (the ‘‘Exchange Act’’) and will act as distributor and principal underwriter (‘‘Distributor’’) of one or more of the Funds. The Distributor of any Fund may be an Affiliated Person (as defined below), or a Second-Tier Affiliate (as defined below), of that Fund’s Adviser and/or Sub-Advisers. 3. Each Fund will hold certain securities (‘‘Portfolio Securities’’) consisting largely of some or all of the component securities (‘‘Component Securities’’) of an Underlying Index selected to correspond before fees and expenses generally to the price and yield performance of such Underlying Index. Each Initial Fund and any Future Fund will be entitled to use its Underlying Index pursuant to either a licensing agreement with the entity that compiles, creates, sponsors or maintains an Underlying Index (each, an ‘‘Index Provider’’) or one or more sub-licensing arrangements pursuant to such licensing agreement with the Index Provider.
