prevent fraudulent and manipulative
acts and practices, to promote just and
equitable principles of trade and, in
general, to protect investors and the
public interest. FINRA further believes
that the proposed rule change is
consistent with Sections 15A(b)(2) and
(b)(7) of the Act,9 which require that
FINRA enforce and provide appropriate
discipline for violation of FINRA rules
and applicable federal securities laws,
rules and regulations. FINRA believes
that adopting the proposed rule change
will strengthen FINRA’s ability to carry
out its oversight and enforcement
responsibilities in cases where full
disciplinary proceedings are
unwarranted in view of the minor
nature of the particular violation.
In addition, FINRA’s MRVP, as
amended by this proposal, provides a
fair procedure for disciplining members
and persons associated with members,
consistent with Sections 15A(b)(8) and
15A(h)(1) of the Act.10 The MRVP does
not preclude a member or associated
person from contesting an alleged
violation and receiving a hearing on the
matter with the same procedural rights
through a litigated disciplinary
proceeding.
B. Self-Regulatory Organization’s
Statement on Burden on Competition
FINRA does not believe that the
proposed rule change will result in any
burden on competition that is not
necessary or appropriate in furtherance
of the purposes of the Act. The
proposed rule change will allow for a
quicker, more efficient means to resolve
minor violations of the eligible rules,
potentially lessening the burden on
firms in those circumstances where,
absent the rule’s inclusion in the MRVP,
a more resource-intense formal
proceeding might ensue.
