the Securities and Exchange
Commission will host the SEC
Government-Business Forum on Small
Business Capital Formation on
Thursday, November 15, 2012,
beginning at 9:00 a.m. in the auditorium
of the Commission’s headquarters at 100

This Sunshine Act notice is being
issued because a majority of the
Commission may attend the meeting.
The forum will include remarks by

Act implementation and small business
capital formation issues not addressed
by the JOBS Act. Members of the public
may attend the forum without charge.
The Commissioner remarks and panel
discussions will be webcast from the
SEC’s Web site.

Commission will hold a Closed Meeting
on Friday, November 9, 2012 at 9:00
a.m.
Commissioners, Counsel to the
Commissioners, the Secretary to the
Commission, and recording secretaries
will attend the Closed Meeting. Certain
staff members who have an interest in
the matters also may be present.
The General Counsel of the
Commission, or his designee, has
certified that, in his opinion, one or
more of the exemptions set forth in 5
U.S.C. 552b(c)(5), (7), 9(B) and (10) and
17 CFR 200.402(a)(5), (7), 9(ii) and (10),
permit consideration of the scheduled
matters at the Closed Meeting.
Commissioner Aguilar, as duty
officer, voted to consider the items
listed for the Closed Meeting in a closed
session and determined that no earlier
notice thereof was possible.
The subject matter of the Closed
Meeting scheduled for Thursday,
November 8, 2012 will be:
Institution and settlement of injunctive
actions;
Institution and settlement of administrative
proceedings;
