to designate certain securities listed, or
authorized for listing, on BATS
Exchange, Inc. (‘‘BATS’’ or ‘‘Exchange’’)
as covered securities for purposes of
Section 18 of the Securities Act.
Covered securities under Section 18 of
the Securities Act are exempt from state
law registration requirements. The
Commission also is making corrections
to the rule text to reflect name changes.

I. Introduction
In 1996, Congress amended Section
18 of the Securities Act to exempt from
state registration requirements securities
listed, or authorized for listing, on the
New York Stock Exchange LLC
(‘‘NYSE’’), the American Stock
Exchange LLC (‘‘Amex’’) (now known as
NYSE Amex LLC),1 or the National
Market System of The NASDAQ Stock

pursuant to an Agreement and Plan of Merger,
dated January 17, 2008 (the ‘‘Merger’’). In
