own more than ten percent of
TouchCommerce, Inc. Therefore,
TouchCommerce, Inc. is considered an
Associate of Emergence Capital Partners
SBIC, L.P. and this transaction is
considered Financing an Associate,
requiring SBA’s prior approval.
