Applicants’ Representations: 1. The Trust is organized as a Delaware statutory trust and is registered as an open-end management investment company under the Act. RIMCo is registered as an investment adviser under the Investment Advisers Act of 1940 (the ‘‘Advisers Act’’), and will serve as investment adviser to the Initial Funds. Any investment adviser to Future Funds will be registered as an investment adviser under the Advisers Act. The Adviser is a wholly-owned subsidiary of Frank Russell Company d/b/a Russell Investments (‘‘Russell’’ or the ‘‘Index Provider’’) who may provide the Underlying Indexes for certain Funds. The Adviser may enter into subadvisory agreements with one or more investment advisers each of which will serve as a sub-adviser to a Fund (each, a ‘‘Sub-Adviser’’). Each Sub-Adviser will be registered under the Advisers Act. RFS, a Washington corporation and a wholly-owned subsidiary of the Adviser, is a broker-dealer registered under the Securities Exchange Act of 1934 (the ‘‘Exchange Act’’). ALPS, a Colorado corporation, is a broker-dealer registered under the Exchange Act. ALPS is not affiliated with RIMCo or its affiliates. RFS or ALPS will serve as the principal underwriter and distributor of the Funds (the ‘‘Distributor’’). 4. Each Fund will hold certain equity securities and/or fixed income securities (‘‘Portfolio Securities’’) selected to correspond generally to the performance of a specified equity and/or fixed income Underlying Index. Each Initial Fund will track an Underlying Index of selected equity securities. The Funds may invest in equity securities (‘‘Equity Funds’’) and/or fixed income securities (‘‘Fixed Income Funds’’) traded in the U.S. or non-U.S. markets as well as futures contracts, options on such futures contracts, swaps, forward contracts or other derivatives, shares of other exchange-traded funds and investment companies that invest primarily in short-term fixed income securities. Certain of the Underlying Indexes will be comprised solely of equity and/or fixed income securities of domestic issuers and non-domestic issuers meeting the requirements for comply with the terms and conditions of the application.
