Interest Rates
The Small Business Administration
publishes an interest rate called the
optional ‘‘peg’’ rate (13 CFR 120.214) on
a quarterly basis. This rate is a weighted
average cost of money to the
government for maturities similar to the
average SBA direct loan. This rate may
be used as a base rate for guaranteed
fluctuating interest rate SBA loans. This
rate will be 4.000 (4) percent for the
October–December quarter of FY 2009.
Pursuant to 13 CFR 120.921(b), the
maximum legal interest rate for any

third party lender’s commercial loan
which funds any portion of the cost of
a 504 project (see 13 CFR 120.801) shall
be 6% over the New York Prime rate or,
if that exceeds the maximum interest

by the constitution or laws of the given
State.

I. Introduction
On March 18, 2009, the Financial
Industry Regulatory Authority, Inc.
(‘‘FINRA’’) (f/k/a National Association
of Securities Dealers, Inc. (‘‘NASD’’))
filed with the Securities and Exchange
Commission (‘‘SEC’’ or ‘‘Commission’’),
pursuant to Section 19(b)(1) of the
Securities Exchange Act of 1934 (the
‘‘Act’’) 1 and Rule 19b–4 thereunder,2 a
proposed rule change to expand TRACE
to include Agency Debt Securities and
primary market transactions. On April
8, 2009, FINRA filed Amendment No. 1
to the proposal.3 The proposed rule
change, as amended, was published for
comment in the Federal Register on
April 16, 2009.4 The Commission
received eight comment letters in
response to the proposed rule change.5
On August 26, 2009, FINRA responded
to the comment letters 6 and filed
Amendment No. 2 to the proposed rule
change.7 The Commission is publishing
this notice and order to solicit
comments on Amendment No. 2 and to
approve the proposed rule change, as
modified by Amendment No. 2, on an
accelerated basis.
II. Description of the Proposal
Currently, FINRA utilizes the Trade
Reporting and Compliance Engine
(‘‘TRACE’’) to collect and disseminate
information on secondary over-the1 15
