the use and dissemination of material
non-public information regarding the
index underlying the ETF.
In approving this proposal, the
Commission relied on Phlx’s
representation that its surveillance
procedures are adequate to properly
monitor the trading of the Trust Shares
and IFSs listed pursuant to the proposed
new listing standards or traded on a
UTP basis. This approval is conditioned
on the continuing accuracy of that
representation.
Acceleration
The Commission finds good cause for
approving the proposed rule change, as
amended, prior to the 30th day after the
date of publication of the notice of filing
thereof in the Federal Register. The
Commission notes that Phlx’s proposal
is substantially similar to other
proposals that have been approved by
the Commission.37 The Commission
does not believe that Phlx’s proposal
raises any novel regulatory issues and,
therefore, that good cause exists for
approving the filing before the
conclusion of a notice-and-comment
period. Accelerated approval of the
proposal will expedite the listing and
trading of additional ETFs by Phlx,
subject to consistent and reasonable
standards. Therefore, the Commission
finds good cause, consistent with
Section 19(b)(2) of the Act,38 to approve
the proposed rule change, as amended,
on an accelerated basis.
V. Conclusion
It is therefore ordered, pursuant to
Section 19(b)(2) of the Act,39 that the
proposed rule change (SR–Phlx–2007–
20), as amended, be, and it hereby is,
approved on an accelerated basis.
