contemplated for working capital and general corporate purposes.

of the Regulations because Emergence Capital Partners, L.P. and 
Emergence Capital Associates, L.P., all Associates of Emergence Capital 
Partners SBIC, L.P., own more than ten percent of Ketera, and therefore
